1. Scope and Agreement

1.1 These Terms apply to all relationships between you and the Company regarding the Service.

1.2 Any policies, guidelines, price pages, and the Privacy Policy posted by the Company constitute part of these Terms.

2. Account Registration and Security

2.1 Registration is required. You must provide accurate and complete information and keep it up to date.

2.2 You are responsible for safeguarding your login credentials. We are not liable for loss or damage arising from unauthorized use of your account.

2.3 We may decline registration if we determine any of the following apply:

1. you have previously breached these Terms;
2. the registration information is false, inaccurate, or incomplete;
3. we otherwise consider the registration inappropriate.

3. Service Description and Changes

3.1 The Service uses AI to transform user-provided ideas into a waitlist landing page and related outputs.

3.2 We may change, suspend, or discontinue all or part of the Service at any time with or without notice.

4. Plans, Fees, Taxes and Billing (Stripe)

4.1 The Service offers free and paid plans. Fees, features, and billing cycles are described on the pricing page and are processed via Stripe.

4.2 Auto-Renewal. Paid subscriptions renew automatically at the end of each term unless you cancel before the renewal date via the method we specify.

4.3 No Refunds. Except where required by law or where the Company is at fault, payments are non-refundable.

4.4 Billing Failures. If a charge fails, we may retry and, after a reasonable grace period (for example, seven days), suspend or terminate access.

4.5 Taxes and Currency. Prices may include or exclude taxes depending on your jurisdiction. You are responsible for any applicable taxes and currency charges. We may change prices with at least fourteen days’ notice, effective on the next renewal.

5. User Content, Outputs, and IP

5.1 User Input. You retain rights to text and other materials you submit ("User Input").

5.2 AI Outputs. Subject to third-party rights and these Terms, you may use the AI-generated outputs ("Outputs") for any lawful purpose. We do not guarantee their accuracy, legality, or non-infringement.

5.3 License to Company. You grant us a non-exclusive, worldwide, royalty-free license to use User Input and Outputs only as necessary to provide, maintain, secure, and improve the Service, including logging, abuse detection, and quality evaluation.

5.4 No Model Training by Default. We do not use User Input or Outputs to train our underlying model parameters. If we change this policy, we will obtain explicit consent in advance.

5.5 Service IP. All rights in the Service (software, models, user interface, trademarks, and so on) remain with the Company or its licensors.

6. Prohibited Conduct

You must not engage in any of the following:

• violate laws or third-party rights;
• access the Service by automated means that impose unreasonable load;
• reverse engineer, decompile, scrape, or attempt to extract source code or datasets;
• attempt prompt injection, model jailbreaks, hidden instruction embedding, context poisoning, or other manipulations to circumvent safeguards;
• attempt unauthorized access to accounts, systems, or APIs, or share API keys or tokens with third parties;
• submit content that is illegal, infringing, or harmful;
• engage in any conduct we deem inappropriate.

7. Beta/Experimental Features and SLA

7.1 Certain features may be released as beta or experimental, provided as is without warranties and may be withdrawn at any time.

7.2 Unless we expressly agree otherwise in writing, no service-level agreement (SLA) is provided.

8. Suspension and Termination

We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, or if we consider it reasonably necessary for security or operational reasons.

9. Third-Party Services

The Service integrates with third-party services, including Supabase, Vercel, Stripe, Anthropic API, OpenAI API, Google Analytics, Resend, and Google Cloud Platform. Your use of such services may be subject to their respective terms and privacy policies.

10. Disclaimers and Limitation of Liability

10.1 The Service and Outputs are provided "as is" and "as available." We disclaim all warranties to the maximum extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

10.2 To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, nor for loss of profits, data, use, or goodwill.

10.3 Our aggregate liability for claims relating to the Service shall not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.

11. Export Controls and Sanctions

You represent and warrant that you are not subject to applicable export controls or sanctions and will not use the Service in violation of export, re-export, or sanctions laws.

12. Feedback

You grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate into the Service any suggestions, enhancement requests, or feedback you provide.

13. Changes to the Terms

We may update these Terms from time to time. Changes become effective upon posting or notification and apply from the next renewal or your continued use, whichever is earlier.

14. Governing Law, Jurisdiction, and Language

These Terms are governed by the laws of Japan.

Any dispute shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance. If there is a discrepancy, the Japanese version of these Terms prevails.

15. Assignment and Miscellaneous

You may not assign or transfer your rights or obligations without our prior written consent. We may assign as part of a business transfer. If any provision is unenforceable, the remainder remains in effect. These Terms constitute the entire agreement between you and us regarding the Service.
